Before starting you will probably want an objective view on practicalities. Is the deal feasible? Before talking to your employer you will want to make sure you are standing on firm ground. Watersheds advises on MBOs all the time and only gets paid for doing so on completion. We are therefore well placed to give an initial view on practicalities without worrying about fees.

Once you start the process you want to make sure you get to the end. A failed MBO will do your career no good whatsoever. Watersheds invests time and effort early in the process to 'flush out' any issues that might prevent the deal going from ahead. We do not accept all appointments. You can be confident if we work on your MBO we believe in it and will move heaven and earth to make it happen for you. We demonstrate our belief in each transaction by getting paid only when the deal happens.

But completing the transaction is not enough. These deals are about making money. The price and structure agreed with the vendor is critical as is the method by which the deal is funded. We will help with both. Our style is to maximise our client’s equity percentage by reducing the need for outside equity funding wherever possible.

We tend to lead negotiations with vendors. This is because we do it all the time and it comes naturally to us, and also because it is often difficult for a management team to switch from being employees one moment to being purchasers negotiating on equal terms the next.
